篇一：國際貨物買(mǎi)賣(mài)合同
一、交貨條款 TERMS OF DELIVERY
�。保b船條件： Terms of Shipment;
離岸加運費價(jià)條款：賣(mài)方應在本合同第（9）條規定之時(shí)間內，將貨物由裝船口岸直接船運到中國口岸，在未經(jīng)征得買(mǎi)方同意前，中途不得轉船。貨物不得用懸掛買(mǎi)方不能接受?chē)业钠鞄玫拇谎b運。
For CFR Terms: The Sellers shall ship the goods within the time as stipulated in Clause (9) of this Contract by a direct vessel sailing from the port of loading to China Port. Transhipment eoute is not allowed without the Buyers' consent.The goods should not be carried by vessels flying of the countries not acceptable to the Buyers.
離岸價(jià)條款： For FOB Terms:
(A)裝運本合同貨物的船只，由買(mǎi)方或買(mǎi)方運輸代理人中國租船公司（地址：北京、二里溝。電報掛號：ZHOUGZU PEKING)租定艙位。賣(mài)放應負責將所訂貨物在本合同第
�。�9）條規定的裝船期限內按買(mǎi)方所通知的任何日期裝上買(mǎi)方指定的船只。
The shipping space for the contracted goods shall be booked by the Buyers or the Buyers'shipping agent,China National Chartering Corporation (Address: Er LiGou Beijing Cable Address:ZHOUGZU PEKING).The Sellers shall undertake to load the contracted goods on board the vessel nominated by the Buyers on any date notified by the Buyers, within the time of shipment stipulated in the Clause (9) of this Contract.
(B)貨物裝運前10—15日，買(mǎi)方應電告賣(mài)方合同號、船只名稱(chēng)、船只預計到港日期、裝運數量及船運代理人的名稱(chēng)，以便賣(mài)方可與該船運代理人聯(lián)系及安排貨物的裝運。賣(mài)方應將聯(lián)系結果及時(shí)報告買(mǎi)方，如買(mǎi)方因故需要變更船只或有關(guān)船只提前或推遲到達情況發(fā)生，買(mǎi)方或船運代理人應及時(shí)通知賣(mài)方。賣(mài)方亦應與中租代理保持密切聯(lián)系。
10—15 days prior to the date of shipment,the Buyers shall inform the Sellers by cable if the contract number,name of vessel, ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the latter to contact the shipping agent directly and arrange the shipment of the goods. The Sellers shall cable in time the Buyers of the result thereof. Should,for certain reasons,it become necessary for the Buyers to replace the named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Sellers, the Buyers or their shipping agent shall advise the Sellers to this effect in due time. The Sellers shall also keep close contact with the agent of Zhougzu.
(C)如買(mǎi)方所訂船只到達裝港后，賣(mài)方不能按買(mǎi)方所通知的時(shí)間如期裝船時(shí)，則空艙費及滯期費等一切費用和后果均由賣(mài)方負擔。但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣(mài)方停止發(fā)貨者，在裝港發(fā)生的棧租及保險費損失的計算，應以代理通知之裝船日期（如貨物晚于船代理通知之裝船日期抵達裝港，應以貨物抵港日期）為準，在港口免費堆存期滿(mǎn)后第16天起應由買(mǎi)方負擔，人力不可抗拒的情況除外，但賣(mài)方仍負有載貨船只到達裝港后立即將貨物裝船之義務(wù)并負擔費用及風(fēng)險。前述各種有關(guān)費用均憑原始單據核實(shí)支付。
Should the Sellers fail to load the goods,within the time as notified by the Buyers, on board the vessel booked by the Buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,and consequences thereof shall be borne by the Sellers. Should the vessel be withdraw or replaced or delayed eventually or the cargo be shut out,etc.,and the Sellers be not informed in good time to stop delivery of the cargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loading port should be based on the loading date notified by the agent to the Sellers(or based on the date of the arrival of the cargo at the loading port in case port in case the cargo should arrive there later than the notified loading date).The above-mentioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyers with the exception of Force Majeure. However, the Sellers still undertaked to load the cargo immediately upon the carrying vessel's arrivel at the loading port at their own risks and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after being checked.
2.裝船通知：貨物裝運完畢后，賣(mài)方立即以電報通知買(mǎi)方合同號、貨名、所裝數量或重量、發(fā)票金額、船名、起運口岸、開(kāi)船日期及目的口岸。由于賣(mài)方不給上述裝船通知電報而導致買(mǎi)方不能及時(shí)保險時(shí)，則所發(fā)生之一切損失均由賣(mài)方負責賠償。
Advice of Shipment: Immediately after completion of loading of goods on board the vessel the Sellers shall advise the Buyers by cable of the contract numver, name of goods, quantity or weight loaded, invoicevalue, name of vessel, port of shipment, sailing date and port of destination. Should the Buyers be made unable to arrange insurance in time owing to the Sellers' failure to give the above mentioned advice of shipment by cable, the Sellers shall be held responsible for any and alll damage and/or loss attributable to such failrue.

買(mǎi)賣(mài)雙方在平等、互利原則上，經(jīng)充分協(xié)商一致，由賣(mài)方出售，買(mǎi)方購進(jìn)下列貨物，并按下列條款履行：

由于包裝不良而引起的貨物損傷或由于防護措施不善而引起貨物損失，賣(mài)方應賠償由此而造成的全部損失費用。
包裝箱內應附有完整的維修保養、操作使用說(shuō)明書(shū)。 第四條．裝運標記：
賣(mài)方應在每個(gè)貨箱上用不褪色油漆標明箱號、毛重、凈重、尺寸、合同號、目的港、收貨人編號并書(shū)以“防潮”、“小心輕放”、“此面向上”等字樣和裝運：。
第五條：交貨條件：
FOB/CFR/CIF/ ，。 除非另有規定“FOB”，“CFR”和“CIF”均應依照國際商會(huì )制定的《國際貿易術(shù)語(yǔ)解釋通則》（INCOTERMS1990）辦理。

當交貨條件為FOB或CFR時(shí)，應由買(mǎi)方負責投保。 當交貨條件為CIF時(shí)，應由賣(mài)方按發(fā)票金額％投保 險；附加險： 。
第十條．支付條件： （1） 信用證（L/C）支付方式：
買(mǎi)方收到賣(mài)方交貨通知后，應在交貨日前天，由________ 銀行開(kāi)出以賣(mài)方為受益人的不可撤銷(xiāo)/可撤銷(xiāo)信用證。信用證于裝運日期后 天內有效。
該信用證適用UCP500/UCP600/的規定 （2）托收（D/P或D/A）支付：
A、貨物裝運后，賣(mài)方出具以買(mǎi)方為付款人的即期跟單匯票（D/P），連同裝運單據，通過(guò)賣(mài)方所在地銀行和買(mǎi)方銀行交給買(mǎi)方進(jìn)行托收。
B、貨物裝運后，賣(mài)方出具以買(mǎi)方為付款人的承兌跟單匯票（D/A），匯付款期限為 后 ，按即期承兌交單（D/A 日）方式，通過(guò)買(mǎi)方所在地銀行和買(mǎi)方________ 銀行交給買(mǎi)方進(jìn)行承兌，買(mǎi)方承兌后，向買(mǎi)方轉交裝運單據，買(mǎi)方按匯票期限到期支付貨款。
�。�3）匯付（T/T或M/T）：
買(mǎi)方在收到賣(mài)方依本合同第十一條規定提交的裝運單據后 日內，以電匯/信匯方式支付貨款。
�。�4）直接付款：
買(mǎi)方收到賣(mài)方裝運單據后天內，以航郵向賣(mài)方支付貨款。 第十一條．單據：
�。�1） 賣(mài)方按照以下不同運輸方式向買(mǎi)方提供相應單據： A、海運：
全套清潔海運提單，標明“運費付訖”/“運費預付”，作成空白背書(shū)并加注目的港________ 公司。
B、空運：
空運提單副本一份，標明“運費付訖”/“運費預付”，寄交買(mǎi)方。
�。�2）商業(yè)發(fā)票一式五份，標明合同號和貨運嘜頭（若貨運嘜頭多于一個(gè)，發(fā)票需單獨開(kāi)列），發(fā)票根據有關(guān)合同詳細填寫(xiě)。
�。�3）在CIF條件下的保險單/保險憑證 份。 （4）由廠(chǎng)商出具的裝箱清單一式 份。 （5）由廠(chǎng)商出具的質(zhì)量和數量保證書(shū)。 （6）原產(chǎn)地證明書(shū)
�。�7）貨物裝運后立即用電報／信件通知買(mǎi)方。 第十二條． 裝運條件： （1）FOB條款：
A、a、由買(mǎi)方負責按照合同規定的交貨日期租船訂艙。
b、賣(mài)方船運代理________ 公司________ ，(電報：________ )，負責
辦理租船訂艙事宜。
B、賣(mài)方應在合同規定的裝運日期前天，用電報／信件將合同號、品名、數量、價(jià)值、箱號、毛重、裝箱尺碼和貨抵裝運港日期通知買(mǎi)方，以便買(mǎi)方租船訂艙。
C、買(mǎi)方應在裝船期前 日通知賣(mài)方船名、預計裝船日期、合同號，以便賣(mài)方安排裝運，要求賣(mài)方與船方代理保持密切聯(lián)系。
D、如果有必要改變裝運船只或者其到達日期，買(mǎi)方或其運輸代理應及時(shí)通知賣(mài)方。
E、如果船只不能在賣(mài)方通知的船期后 日內到達裝運港，買(mǎi)方應承擔從第 日起發(fā)生的貨物倉儲保管費用和此期間的貨物保險費用。
F、若載運船舶如期抵達裝運港，賣(mài)方因備貨未妥而影響裝船，則空艙費和滯期費均由賣(mài)方承擔。
G、貨物越過(guò)船舷之前，一切費用和風(fēng)險由賣(mài)方承擔；貨物越過(guò)船舷之后，一切費用和風(fēng)險屬買(mǎi)方。
�。�2）CFR和CIF條款：
賣(mài)方于本合同第六條規定的裝運日期前天，以電報／信件把交貨預定期、合同號、品名、發(fā)票金額等通知買(mǎi)方。貨物交辦發(fā)運，賣(mài)方即刻以電報／信件將合同號、品名、發(fā)票金額、交辦日期通知買(mǎi)方，以便買(mǎi)方及時(shí)投保。
第十三條．允許/不允許部分裝運或轉運。
第十四條．賣(mài)方有權在 ％數量?jì)纫缪b或短裝。 第十五條．質(zhì)量保證：
賣(mài)方保證：所供貨物，其質(zhì)量、規格和工藝符合本合同所作的說(shuō)明，標明商標的貨物包裝為新的和未經(jīng)使用的。保證期為自貨到目的港卸貨完畢之日起12個(gè)月。在質(zhì)量保證期內，凡因設計、制造工藝和所有材料而產(chǎn)生的缺陷，賣(mài)方應自負費用進(jìn)行修理或更換貨物。
第十六條．檢驗：
在貨物運抵最終目的地后，買(mǎi)方有權向向貨物檢驗機構申請對貨物進(jìn)行檢驗。檢驗機構為中華人民共和國進(jìn)出口商品檢驗局。
第十七條. 索賠：
自貨到目的港起天內，經(jīng)發(fā)現貨物質(zhì)量、規格、數量、重量、包裝、安全或衛生條件與合同規定不符者，除應由保險公司或船方承擔的部分外，買(mǎi)方可憑前條規定的檢驗機構所出具的商品檢驗證書(shū)，有權要求更換或索賠。賣(mài)方應在收到索賠要求后天內回復買(mǎi)方。
貨到目的港起12個(gè)月內，使用過(guò)程中由于材料質(zhì)量和工藝問(wèn)題而出現的損傷，買(mǎi)方應當立即以書(shū)面形式通知賣(mài)方并出具前條規定的檢驗機構開(kāi)列的檢驗證書(shū)，提出索賠，賣(mài)方應當承擔違約責任。賣(mài)方應在收到索賠要求后天內回復買(mǎi)方。
第十八條． 不可抗力：
�。�1）在貨物制造和裝運過(guò)程中，由于不可抗力的原因（如戰爭、嚴重火災、水災、臺風(fēng)和地震或其他由雙方認可的事件）致使延期交貨或不能交貨，賣(mài)方概不負責。賣(mài)方于不可抗力事件發(fā)生后，應立即通知買(mǎi)方并在事發(fā) 天內，以航空郵件將事故發(fā)生所在地當局簽發(fā)的證書(shū)寄交買(mǎi)方以作證據。
�。�2）在此情況下，買(mǎi)賣(mài)雙方應當根據具體情況確定合同是否能夠繼續履行以及賣(mài)方是否仍有責任采取必要措施促使盡快交貨。
�。�3）不可抗力事故發(fā)生后超過(guò) 天而合同尚未履行完畢，買(mǎi)方有權解除合同。
第十九條．合同延期和罰款：
除本合同十八條所述不可抗力原因外，賣(mài)方若不能按合同規定如期交貨，應當提前 通知買(mǎi)方，買(mǎi)方可同意延期交貨，且可以同時(shí)相應減少議定的貨款支付金額，并通知付款銀行相應減少議定的支付金額。該減少的部分作為合同延期履行的違約金，但違約金數額不得超過(guò)遲交貨物總額的5％。賣(mài)方若逾期10個(gè)星期仍不能交貨，買(mǎi)方有權解除合同，且有權要求賣(mài)方如期支付上述違約金。
第二十條．合同爭議的解決方式：
凡涉及本合同或因執行本合同而發(fā)生的一切爭議，應通過(guò)友好協(xié)商解決，如果協(xié)商不能解決，則可提交中國-西安仲裁委員會(huì )根據該會(huì )的.仲裁規則和程序進(jìn)行仲裁。仲裁將在西安進(jìn)行，仲裁裁決是終局的，對雙方都有約束力。仲裁費用由仲裁庭決定具體承擔。
第二十一條．附加條款： （1）法律適用： 本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內或被訴人為中國法人時(shí)，適用中華人民共和國法律，除此規定外，適用《聯(lián)合國國際貨物銷(xiāo)售公約》/ 。
�。�2）本合同一式兩份，自雙方之日起生效，雙方各執一份，具有同等法律效力。
�。�3）本合同為中英文兩種文本，兩種文本具有同等效力。但兩種文本若有差異，以中文為準。

賣(mài)方同意采用慣常的和合理的商業(yè)作法滿(mǎn)足買(mǎi)方上述列明的交付日的要求。買(mǎi)方知悉裝運日期取決于場(chǎng)地的準備就緒、賣(mài)方從買(mǎi)方及時(shí)收到所有必要的信息以及賣(mài)方的轉供貨商對產(chǎn)品的及時(shí)發(fā)運。賣(mài)方不應對超出其控制的原因導致的未交付、延遲交付或錯誤交付（并且未在合理的時(shí)間內補救）對買(mǎi)方承擔賠償責任。

除非另有規定，賣(mài)方應安排產(chǎn)品通過(guò)賣(mài)方認為適合的恰當的運輸方式將產(chǎn)品在本合同項下規定的目的港交付給買(mǎi)方。
7. INSURANCE:保險
To be covered by the Seller for 110% of invoice value against war risks, all risks including TPND, breakage and leakage
應由賣(mài)方按發(fā)票金額的110% 投保戰爭保險 , 一切險包括TPND, 破碎及滲漏。
8. PACKING:包裝
In standard Philips Export Packing and seaworthy materials for marine transportation.
應以適合海運的材料用標準的飛利浦出口包裝進(jìn)行包裝。
