AGREEMENT OF HOUSE INTERIOR DESIGN
This AGREEMENT OF INTERIOR DESIGN made this date of between A (hereinafter called "the Client" which expression includes their legal representatives, successors in title an assigns) of the one part and B practicing as design consultant at C (hereinafter called “the Designer" which expression includes his/legal representatives, successors in titles and permitted assigns) of the other part.
WHEREAS the Client intends to construct and complete. (hereinafter called the project);AND WHEREAS the Client is desirous of appointing the Designer to provide professional design services for the Project on the terms and conditions hereinafter appearing
IT IS HEREBY AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS:
本設計協(xié)議由甲方(客戶(hù))和乙方(設計顧問(wèn))及丙方(設計公司)于 日簽訂。
鑒于客戶(hù)意欲建設并完成本工程;鑒于客戶(hù)愿意指定設計公司依照以下條款為本工程提供專(zhuān)業(yè)設計服務(wù)。
因此，雙方達成協(xié)議如下：
1.0 SCOPE OF WORK 服務(wù)范圍
1.1 Interior layout and spatial re-planning of all areas.
室內布局和所有領(lǐng)域的空間重新規劃。
1.2 Interior design conceptualization and design implementation.
室內設計構思和設計實(shí)施。
1.3 Interior finishes advice, specification and implementation.
室內飾面咨詢(xún)，規范和實(shí)施。
1.4 Interior lighting conceptualization, selection and implementation.
室內燈具構思、選擇和實(shí)施。
1.5 Interior fixtures specification and design for custom made & built in furniture or doors not already in the architectural schedule.
為客戶(hù)制作或建造于不包括建筑物內已有的家具或門(mén)上的室內固定物或附著(zhù)物的規范和設計
1.6 Loose furniture consultation and selection.活動(dòng)家具的咨詢(xún)和選擇
1.7 Preparation of all necessary documents for the implementation for the project.
本項目實(shí)施所需全部必要文件的準備
1.8 Coordination with appointed contractors, suppliers, specialists and other consultants.
與指定承建商、供應商、專(zhuān)家和其他顧問(wèn)的協(xié)商
1.9 Periodical project supervision of items 1.1 to 1.8 during construction.

2.0 EXCLUSIONS 除外方面
2.1 Areas not included in the Design Consultant’s scope of work are External Building Works, Civil and Structural Engineering, External Landscape, Mechanical and Electrical Engineering, Plumbing & Air Conditioning Engineering, Quantity Surveying & Computer 3D animation.
不包含在設計咨詢(xún)服務(wù)范圍的領(lǐng)域是室外建造工程，土木及結構工程，外部景觀(guān)，機電工程，水暖和空調系統工程，工料測量和電腦三維動(dòng)畫(huà)。
2.2 While the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘Practical Completion Certificate’ to the contractor if any.

2.3 While the Designer will provide intent drawings of typical finishes and fixtures, all shop drawings for specialists tradesmen and propriety systems or products must be submitted by the respective sub contractors appointed for this project. They may include:

3.0 FEES 費用
The fee for the conceptual design phase through project construction phase shall be Charged based on unit rate US Dollar Per Square Foot and designable area of Square Foot. The lump sum of US Dollars: Dollars Only (excluding any local governing withholding taxes). The fee shall be payable by the client as addressed below in the payment schedule.

4.0 TERMS OF PAYMENT 支付條款
4.1 Payments are due and payable upon presentation of the Design Consultant’s invoice upon certifying of fees according to paragraph 3.2. An interest of 1% shall be charged on delinquent payments past 30 days.

4.2 Payments during construction phase shall be made monthly, in proportion to the length of the construction period as define in the Work Program Chart.

4.3 Payments for additional services and for reimbursable expenses shall be made monthly upon presentation of Design Consultants statement of services rendered, or expenses incurred.
額外服務(wù)和可報銷(xiāo)費用應根據設計方出示的關(guān)于相關(guān)服務(wù)或發(fā)生的費用的憑據按月支付。
5.0 DEFINITION OF SERVICES 服務(wù)的定義
5.1 Conceptual Design Phase 概念性設計階段
Understanding of client’s need and formulation of concept design for client’s approval. Includes advising of the need for Authority submissions and additional consultants where appropriate. Concept Illustrations will be prepared for the client’s understanding of the design intent. No detailing is done at this stage. Subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

5.2 Design Development Phase 深化設計階段
Development of the approved concept design for client’s approval. Includes preparation of working drawings for construction, and selection of materials and finishes.
對經(jīng)客戶(hù)批準的概念性設計進(jìn)行深化。包括為建設施工用的工作圖紙的準備，材料和飾面的選擇。
Appointed consultants shall be coordinated to produce a complete design.
制定顧問(wèn)應協(xié)調制作出一個(gè)完整的設計。
Necessary detailing will be produced at this stage. 必要的細節設計將在該階段完成。
Project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.

Adjusted project fee shall propose by Design Consultant in the ‘Fee Amendment Schedule’ upon client’s request for project fee increment.
調整的項目費用應有設計咨詢(xún)單位在“費用變更單”中根據客戶(hù)要求而導致項目費用的增量提議。
The ‘Fee Amendment Schedule’ shall supercede paragraph 3.2.Changes requested by the client after the approval of production drawings are deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.
客戶(hù)要求的對施工圖的設計變更被批準后，“費用變更單”將取代第3.2條的約定，被視為額外的服務(wù)，應根據第7條收取相應款項，除非雙方另有約定。
5.3 Project Documentation Phase 項目文件階段
Preparation of all necessary technical specifications for the project.
準備該項目所需的所有必要的技術(shù)性規定。
All necessary design coordination with other consultants shall be completed by this stage.
與其他設計單位協(xié)調所有的設計必須在該階段完成。
Relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.
該階段合適時(shí)間應獲得相關(guān)部門(mén)同意開(kāi)工的批示。
Client shall be notified upon completion of this stage. 完成該階段時(shí)應通知客戶(hù)。
Any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.
客戶(hù)在該階段要求的任何變更應被視為額外的服務(wù)，除非雙方另有約定，應根據第7條收取相應款項。
5.4 Construction Phase建設施工階段
Implementation of the approved design. 經(jīng)批準同意的設計的實(shí)施
Design Consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.
設計方應監督現場(chǎng)安裝，檢查所有批準文件中選定的被運至現場(chǎng)的材料，包括規格、質(zhì)量和品質(zhì)，拒收不符合規范的材料。
The Design consultant shall provide final inspection and a Practical Completion Certificate shall be awarded upon Consultant’s satisfaction that all works has been completed accordance to approved drawings.
設計方應提供最終的檢驗以及提交表明咨詢(xún)方認為所有工作根據批準圖紙已經(jīng)完成的實(shí)際完成證明。
Changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.

In addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.
此外，設計方有權收取因延誤施工工期而導致的人工費用、間接成本、倉儲和材料費用等逾期費用，以及因此而導致的的其他損失。
6.0 AMENDMENT OF APPROVED DRAWINGS BY DESIGN CONSULTANT
設計終稿的`變更
6.1 The Design Consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the Design Consultant. Such changes shall be commuted to the client and no additional service charge shall be payable by the client. However additional cost incurred to labour and material shall be reimbursed by the client.
由于不可預見(jiàn)即設計方無(wú)法掌控的情況，設計方保留對設計終稿的設計、細節設計、材料、完成和規范的修改權。此等設計修改應減輕客戶(hù)的義務(wù)，即客戶(hù)無(wú)需就該等設計的修改向設計方支付額外的費用。但額外的人工費和材料費應由客戶(hù)承擔。
7.0 COMPENSATION FOR ADDITIONAL SERVICES 額外服務(wù)費用
7.1 For project representation beyond that is already mentioned, compensation shall be computed as follows: Dollars Per Hour (S$100.00/Hour)
對于上述提到的額外服務(wù)的補償費，應按每小時(shí) 元計算
7.2 This Service shall be approved by client in writing before the Design Consultant provides such services.
設計方在提供額外服務(wù)前應獲得客戶(hù)事先的書(shū)面許可。
7.3 In cases which Design Consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.
除非設計方同意對某項特定的額外服務(wù)給予優(yōu)惠或降低收費，否則他們對于每一特定主題的收費是單獨收費，不會(huì )因為之后而來(lái)設計要求是相似的而放棄收取費用。
8.0 REIMBURSABLE EXPENSES 可補償費用
8.1 Reimbursable Expenses are in addition to compensation for basic and additional services. It shall include cost incurred by the Design Consultant and its employees in the interest of the project, as identified in the following clauses.
可補償費用是指除基本和附加服務(wù)外的費用。包括設計方及其工作人員為了項目利益而發(fā)生的費用，具體由以下條款確認。
8.2 Expenses for all travel related cost including business class airfares with Singapore Airlines or Equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.
包含新加坡航空商務(wù)艙或其他等價(jià)機票、五星級酒店住宿費、地面交通費、包裹搬運費或快遞服務(wù)費在內的相關(guān)差旅費。
8.3 Expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.
客戶(hù)要求的專(zhuān)業(yè)效果圖紙和/或測繪模型的費用以及10%的手續費。
8.4 Expense for courier services, postage and handling of drawings, specification and other documents.
快遞服務(wù)費，圖紙、說(shuō)明書(shū)和其他相關(guān)文件的郵費及包裝費
8.5 Expense for colour prints or colour slides when requested by client.
客戶(hù)要求的彩印或者彩色幻燈片費用。
8.6 Professional fees and reimbursable expenses of supporting consultants.
輔助顧問(wèn)的專(zhuān)業(yè)費用和可補償費用。
8.7 Documentation and lithography cost, and fees payable to authorities where relevant.
文件及印刷費用，以及支付給相關(guān)政府部門(mén)的費用。
8.8 Site Staffs appointed and will act under the direction of the relevant consultants. Client shall reimburse the consultant all expenses incurred by such appointment.
任命工地人員且在相關(guān)顧問(wèn)的指導下工作�？蛻�(hù)應當補償該顧問(wèn)在此任命下發(fā)生的所有花費。
9.0 PAYMENT WITHHELD 支付扣留
9.1 No deductions shall be made from Design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the Works other than those, which the Design Consultant has been found liable due to, be liable. The Design Consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the Design Development Phase.
以下費用不得被抵扣：(1)設計方由于罰金、違約金而獲得的賠償金;(2)除了被確認的由于設計方的責任而導致的設計變化而產(chǎn)生的費用�；谠谠O計開(kāi)發(fā)階段被批準的設計圖紙開(kāi)始施工時(shí)設計方的工作即被視為已完成。
10.0 DAMAGE OR DESTRUCTION OF WORKS 工程毀損
10.1 If at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the Design Consultant, the client may require the Design Consultant to resume work on the project. The Design Consultant may do so upon notification in writing by the client. However, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.
在項目竣工前的任何時(shí)間，如若發(fā)生由于戰爭，動(dòng)亂，內亂，自然災害或者其他任何不在設計方控制內的事件而導致工程、設備或者其他設施毀損滅失的，客戶(hù)有權要求設計方重新開(kāi)始工程的相關(guān)工作。設計方應當在收到客戶(hù)的書(shū)面通知后開(kāi)始工作。在工作重新開(kāi)始前，雙方應當確認好補救工作和隨后的附加工作的具體費用。
11.0 CARE AND DILIGENCE 謹慎勤勉義務(wù)
11.1 The Design Consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.
設計方應該運用專(zhuān)業(yè)技能勤勉謹慎地履行合同，并且按照約定根據合理的專(zhuān)業(yè)實(shí)踐履行義務(wù)。
12.0 TERMINATION 合同終止
12.1 The obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.
如若發(fā)生導致合同實(shí)際履行不能的事件，一方在無(wú)過(guò)錯的前提下提前14日書(shū)面通知另一方后合同義務(wù)即告終止。
12.2 The client upon may terminate this agreement not less than 14 days written notice to the Design Consultant in the event that the project is permanently abandoned. If the client abandons the project for 90 consecutive days, the Design consultant may terminate the agreement by written notice.
如若工程被永久廢棄，客戶(hù)需提前14日書(shū)面通知設計方以終止合同。如果客戶(hù)持續90日廢棄該工程，設計方可書(shū)面通知終止合同。
12.3 The agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.
一方違約后，另一方可以通知對方采取補救措施。違約方在收到對方的書(shū)面通知后14日內未能成功補救的，未違約方可以終止合同。
12.4 This contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.
一方進(jìn)入破產(chǎn)程序(公司合并或者重組除外)后，或者清算人或破產(chǎn)管理人被指派接管其全部或部分事務(wù)，本合同即告終止。
12.5 In the event of any termination, the Design Consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. The Design Consultant shall submit his account for the balance of payment with 30 days of termination. The client shall pay all outstanding fees within 30 days upon the receipt of the account. A monthly interest of 1% is chargeable if payment due to the Design Consultant is not received after 30 days upon issuance of the final account.
合同終止事由發(fā)生時(shí)，客戶(hù)須支付設計方包括可補償費用以及合同終止費用在內的合同終止前發(fā)生的所有服務(wù)費用。設計方須提交合同終止30日前的收支帳戶(hù)明細�？蛻�(hù)須支付30日內帳戶(hù)中列明的應付未付款項。最終賬戶(hù)確認后30日內沒(méi)有付清的，設計方有權按每月1%收取利息。
13.0 OPINION OF COST 成本建議
13.1 As the Design Consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. The preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. However, the Design Consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. Services to modify Contract Documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.
設計方不能控制由其他方提供的勞務(wù)、材料、設備和服務(wù)費用，以及施工方的定價(jià)方法和/或市場(chǎng)情況。初步的建設成本預估是基于經(jīng)驗和資歷的，設計方熟悉建筑行業(yè)，代表有經(jīng)驗專(zhuān)業(yè)人員作出最好的判斷。但是設計方并不確保其所做的預估一定與由相關(guān)方提供的實(shí)際的建筑成本或者服務(wù)費用相一致。在客戶(hù)設立的限制下提供的修改施工成本合同文件服務(wù)將被視為附加服務(wù)，相關(guān)費用應以雙方一致同意為準。
14.0 SETTLEMENT OF DISPUTE 糾紛處理
本約定書(shū)的所有方面均應適用新加坡國的法律進(jìn)行解釋并受其約束。與本約定書(shū)有關(guān)的任何糾紛或爭議，雙方均可提交 進(jìn)行仲裁;
All of the agreement shall be interpreted and governed by the laws of Singapore. Any disputes in connection with the agreement shall be settled through friendly negotiation. If negotiation fails, the disputes can be submitted to for arbitration.

鑒于甲方擬對 [項目地址] 進(jìn)行室內裝修設計，乙方具備相應的專(zhuān)業(yè)資質(zhì)和能力，雙方經(jīng)友好協(xié)商，依據《中華人民共和國民法典》等相關(guān)法律法規，達成如下協(xié)議：
一、服務(wù)內容
乙方負責為甲方提供室內裝修設計方案，包括但不限于平面布局設計、空間規劃、色彩搭配、選材建議、軟裝設計等。
乙方應根據甲方的需求和項目實(shí)際情況，提供不少于 ____ 套設計初稿供甲方選擇，并根據甲方反饋進(jìn)行修改完善，直至甲方滿(mǎn)意為止。
在設計方案確定后，乙方應提供詳細的施工圖紙，包括但不限于平面圖、立面圖、剖面圖、節點(diǎn)詳圖等，確保施工方能夠準確理解并實(shí)施設計方案。
Service Scope
Party B is responsible for providing interior decoration design plans for Party A, including but not limited to floor plan design, space planning, color matching, material selection suggestions, and soft decoration design.
Party B shall provide no less than ____ sets of preliminary design drafts for Party A to choose from according to Party As requirements and the actual situation of the project, and make revisions and improvements based on Party As feedback until Party A is satisfied.
After the design plan is determined, Party B shall provide detailed construction drawings, including but not limited to floor plans, elevation views, sectional views, and detail drawings, to ensure that the construction party can accurately understand and implement the design plan.
二、服務(wù)期限
本協(xié)議服務(wù)期限自 ____起至 ____止。如因甲方原因導致設計工作延誤，服務(wù)期限相應順延。
Service Period
The service period of this agreement shall commence from [Start Date] and end on [End Date]. If the design work is delayed due to reasons attributable to Party A, the service period shall be extended accordingly.
三、設計費用及支付方式
甲方應向乙方支付的設計費用總額為人民幣 ____元整（大寫(xiě)：____）。
支付方式：
簽訂本協(xié)議后 ____ 個(gè)工作日內，甲方向乙方支付設計費用總額的 ____% 作為預付款，即人民幣 ____ 元整（大寫(xiě)：____）。

Design Fees and Payment Method
The total design fees that Party A shall pay to Party B amount to RMB [Specific Amount] yuan (in words: [Amount in Words]).
Payment Method:
Within ____ working days after signing this agreement, Party A shall pay ____% of the total design fees to Party B as an advance payment, that is, RMB [Advance Payment Amount] yuan (in words: [Advance Payment Amount in Words]).
Within ____ working days after Party B submits the preliminary design draft and Party A gives written confirmation, Party A shall pay ____% of the total design fees to Party B, that is, RMB [Progress Payment Amount 1] yuan (in words: [Progress Payment Amount 1 in Words]).

四、雙方權利與義務(wù)
�。ㄒ唬┘追綑嗬x務(wù)
甲方有權對乙方的設計工作提出意見(jiàn)和建議，乙方應予以充分考慮并合理采納。
甲方應按照本協(xié)議約定及時(shí)向乙方支付設計費用。
甲方應向乙方提供項目相關(guān)的基礎資料，包括但不限于建筑圖紙、現場(chǎng)勘查數據等，確保資料的真實(shí)性和完整性。若因甲方提供資料不完整或不準確導致設計延誤或變更，乙方不承擔責任。
Rights and Obligations of Party A
Party A has the right to put forward opinions and suggestions on Party Bs design work, and Party B shall give full consideration and reasonably adopt them.
Party A shall pay the design fees to Party B in a timely manner in accordance with the provisions of this agreement.
Party A shall provide Party B with basic materials related to the project, including but not limited to architectural drawings, on - site survey data, etc., to ensure the authenticity and integrity of the materials. If the design is delayed or changed due to incomplete or inaccurate materials provided by Party A, Party B shall not be liable.

乙方有權要求甲方提供與設計工作相關(guān)的必要資料和信息。
乙方應按照國家相關(guān)設計規范和標準，以及甲方的要求進(jìn)行設計工作，確保設計方案具有可行性、創(chuàng )新性和美觀(guān)性。
乙方應保守甲方的商業(yè)秘密和項目信息，未經(jīng)甲方書(shū)面同意，不得向任何第三方披露。
在設計過(guò)程中，如因乙方原因導致設計方案出現重大失誤或未能按時(shí)交付，乙方應承擔相應的違約責任。
Rights and Obligations of Party B
Party B has the right to request Party A to provide necessary materials and information related to the design work.
Party B shall carry out the design work in accordance with relevant national design codes and standards, as well as Party As requirements, to ensure that the design plan is feasible, innovative, and aesthetically pleasing.
Party B shall keep Party As business secrets and project information confidential and shall not disclose them to any third party without the written consent of Party A.
During the design process, if Party B causes major mistakes in the design plan or fails to deliver on time due to reasons attributable to Party B, Party B shall bear corresponding liability for breach of contract.
五、知識產(chǎn)權
乙方完成的設計成果的`知識產(chǎn)權歸甲方所有，但乙方享有在其作品集、宣傳資料等中展示該設計成果的權利，但需注明甲方為委托方。
未經(jīng)甲方書(shū)面同意，乙方不得將設計成果用于其他項目或向第三方轉讓。
Intellectual Property Rights
The intellectual property rights of the design results completed by Party B shall belong to Party A, but Party B shall have the right to display the design results in its portfolio, promotional materials, etc., provided that Party A is indicated as the entrusting party.
Without the written consent of Party A, Party B shall not use the design results for other projects or transfer them to third parties.
六、違約責任
若甲方未按照本協(xié)議約定支付設計費用，每逾期一日，應按照未支付金額的 ____% 向乙方支付違約金。逾期超過(guò) ____ 日的，乙方有權暫停設計工作直至甲方支付費用及違約金，且服務(wù)期限相應順延。若甲方逾期超過(guò) ____ 日仍未支付，乙方有權解除本協(xié)議，并要求甲方支付已完成工作對應的設計費用及違約金。
若乙方未按照本協(xié)議約定的時(shí)間提交設計初稿、最終設計方案或施工圖紙，每逾期一日，應按照設計費用總額的 ____% 向甲方支付違約金。若因乙方原因導致設計方案出現重大失誤，乙方應無(wú)償進(jìn)行修改，直至達到甲方要求。若乙方經(jīng)多次修改仍無(wú)法滿(mǎn)足甲方要求，甲方有權解除本協(xié)議，并要求乙方返還已支付的設計費用，同時(shí)乙方應按照設計費用總額的 ____% 向甲方支付違約金。
Liability for Breach of Contract
If Party A fails to pay the design fees in accordance with the provisions of this agreement, it shall pay a liquidated damages of ____% of the unpaid amount to Party B for each overdue day. If the overdue period exceeds ____ days, Party B has the right to suspend the design work until Party A pays the fees and liquidated damages, and the service period shall be extended accordingly. If Party A still fails to pay after the overdue period exceeds ____ days, Party B has the right to terminate this agreement and demand that Party A pay the design fees corresponding to the completed work and liquidated damages.
If Party B fails to submit the preliminary design draft, final design plan, or construction drawings within the time specified in this agreement, it shall pay a liquidated damages of ____% of the total design fees to Party A for each overdue day. If major mistakes occur in the design plan due to reasons attributable to Party B, Party B shall make free revisions until the requirements of Party A are met. If Party B still fails to meet Party As requirements after multiple revisions, Party A has the right to terminate this agreement, demand that Party B return the paid design fees, and Party B shall pay a liquidated damages of ____% of the total design fees to Party A.
七、爭議解決
本協(xié)議在履行過(guò)程中如發(fā)生爭議，雙方應首先友好協(xié)商解決；協(xié)商不成的，任何一方均有權向有管轄權的人民法院提起訴訟。
Dispute Resolution
In the event of any disputes arising during the performance of this agreement, the two parties shall first resolve them through friendly consultations. If the consultations fail, either party has the right to file a lawsuit with the peoples court having jurisdiction.
八、其他條款
本協(xié)議自雙方簽字（或蓋章）之日起生效，一式兩份，甲乙雙方各執一份，具有同等法律效力。
本協(xié)議未盡事宜，雙方可另行協(xié)商并簽訂補充協(xié)議，補充協(xié)議與本協(xié)議具有同等法律效力。
Other Provisions
This agreement shall come into force on the date of signature (or seal) by both parties. It is made in two copies, with each party holding one copy, and both copies have the same legal effect.
For matters not covered in this agreement, the two parties may negotiate separately and sign a supplementary agreement. The supplementary agreement shall have the same legal effect as this agreement.
