獨家代理合同協(xié)議

與他方當事人x、 y、 z公司,按______國法律組建并存在的公司,其主營(yíng)業(yè)地在______(以下簡(jiǎn)稱(chēng)代理商)所簽訂。
 
 
雙方一致同意約定如下:
 
 
第一條 委任與接受
 
 
在本協(xié)議有效期內,賣(mài)方指定代理商為本協(xié)議第四條項下商品的獨家代理商,在第三條所規定的區域內招攬顧客的訂單。代理商同意并接受上述委任。
 
 
第二條 代理商的義務(wù)
 
 
代理商應嚴格遵守賣(mài)方隨時(shí)給予的任何指令,而且不得代表賣(mài)方作出任何擔保、承諾以及訂立契約、合同或作其他對賣(mài)方有約束力的行為。對于代理商違反賣(mài)方指令或超出指令范圍所用的一切作為或不作為,賣(mài)方都將不承擔任何責任。
 
 
第三條 代理區域
 
 
本協(xié)議所指的代理區域是:________ (以下簡(jiǎn)稱(chēng)區域)。
 
 
第四條 代理商品
 
 
本協(xié)議所指的代理商品是_________ (以下簡(jiǎn)稱(chēng)商品)。
 
 
第五條 獨家代理權
 
 
基于本協(xié)議授予的獨家代理權,賣(mài)方不得在代理區域內,直接地或間接地,通過(guò)其他渠道銷(xiāo)售、出口代理商品。代理商也不得在代理區域內經(jīng)銷(xiāo)、分銷(xiāo)、或促銷(xiāo)與代理商品相似或有競爭性的商品,也不能招攬或接受到區域外銷(xiāo)售為目的訂單。在本協(xié)議有效期內,對來(lái)自于區域內其他顧客有關(guān)代理商品的訂單、詢(xún)價(jià),賣(mài)方都應將其轉交給代理商。
 
 
第六條 最低代理額和價(jià)格
 
 
在本協(xié)議有效期內,如果賣(mài)方通過(guò)代理商每所(12個(gè)月)從顧客處收到的貨款總金額低于_______ ,則賣(mài)方有權提前30天書(shū)面通知代理商解除本協(xié)議。
賣(mài)方應經(jīng)常向代理商提供最低的價(jià)格表以及商品可以成交的條款、條件。
 
 
第七條訂單的處理
 
 
在招攬訂單時(shí),代理商應將賣(mài)方成交的條件、合同的一般條款充分通知顧客,也應告知顧客任何合同的訂立都須經(jīng)賣(mài)方的確認。代理商應將其收到的訂單立即轉交給賣(mài)方,以供賣(mài)方選擇是否接受訂單。賣(mài)方有權利拒絕履行或接受代理商所獲得的訂單或訂單的一部分,而代理商對于被拒絕的訂單或其中的一部分,無(wú)任何傭金請求權。
 
 
第八條 費用分擔
 
 
除另有約定外,所有的費用和支出,如電訊費、差旅費以及其他有關(guān)商品銷(xiāo)售的費用,都應由代理商承擔。除此以外,代理商還應承擔維持其辦公處所、銷(xiāo)售人員以及用于執行賣(mài)方中有關(guān)代理商的義務(wù)而發(fā)生的費用。
 
 
第九條 傭金
 
 
賣(mài)方接受代理商直接獲得的所有訂單后,就應按商品凈銷(xiāo)售額的百分之_____,以______(貨幣)支付給代理商傭金。傭金只有在賣(mài)方收到顧客的全部貨款后,每6個(gè)月支付一次,以匯付方式支付。
 
 
第十條商情報告
 
 
賣(mài)方和代理商都應按季度或按對方要求提供有關(guān)市場(chǎng)信息的報告,以盡可能促進(jìn)商品的銷(xiāo)售。代理商應向賣(mài)方報告商品的庫存情況、市場(chǎng)狀況及其他商業(yè)活動(dòng)。
 
 
第十一條 商品的推銷(xiāo)
 
 
在代理區域內,代理商應積極地充分地進(jìn)行廣告宣傳以促進(jìn)商品的銷(xiāo)售。賣(mài)方應向代理商提供一定數量的廣告印刷品、商品樣本、小冊子以及代理商合理要求的其他材料。
 
 
第十二條 工業(yè)權保護
 
 
在本協(xié)議有效期內,代理商可使用賣(mài)方的商標,但僅限于代理商品的銷(xiāo)售。如果在本協(xié)議終止后,代理商地銷(xiāo)售庫存代理商品時(shí),仍可使用賣(mài)方的商標。代理商也承認使用于或包含于代理商品中的任何專(zhuān)利、商標、版權以及其他工業(yè)產(chǎn)權,都屬于賣(mài)方所有,并且不得以任何方式提出異議。一旦發(fā)現浸權,代理商應及時(shí)通知賣(mài)方并協(xié)助賣(mài)方采取措施保護賣(mài)方產(chǎn)權利益。
 
 
第十三條 協(xié)議期限
 
 
本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個(gè)月,賣(mài)方或代理商應共同協(xié)商協(xié)議的續延。如果雙方一致同意續延,在上述規定的條款、條件下,附上補充文件,本協(xié)議將繼續有效另外_______年。發(fā)生續延,本協(xié)議將于______年______月______日終止。
 
 
第十四條 協(xié)議的中止
 
 
在本協(xié)議有效期內,任何一方當事人不履行合同或違反本協(xié)議的條款,如第五、六、十一條,雙方當事人座爭取及時(shí)解決爭議的問(wèn)題以期雙方滿(mǎn)意。如果在違約方接到書(shū)面通知后30日內問(wèn)題仍不能解決,非違約方將有權中止本協(xié)議,由此造成的損失、無(wú)力償付債務(wù)、清算、死亡以及被第三人兼并,另一方當事人可提出中止本協(xié)議,而無(wú)需書(shū)面通知對方。
 
 
第十五條 不可抗力
 
 
任何一方對由于下列原因而導致不能或暫時(shí)不能履行全部或部分協(xié)議義務(wù)的,不負責任:
自然災害、政府采購或禁令以及其他任何雙方在簽約時(shí)不能預料、無(wú)法控制且不能避免和克服的事件。但受不可抗力影響的一方,應盡快地將發(fā)生的事件通知對方,并附上證明材料。
 
 
第十六條 準據法
 
 
本協(xié)議有關(guān)貿易條款應按 incoterm90解釋。本協(xié)議的有效性、組成以及履行受中華人民共和國法律管轄。 
 
 
第十七條 仲裁
 
 
對于因履行本合同發(fā)生的一切爭議,雙方應友好協(xié)商解決,如協(xié)商無(wú)法解決爭議,則應提交中國國際經(jīng)濟貿易仲裁委員會(huì )(北京),依據其仲裁規則,仲裁費應由敗訴一方承擔,仲裁委員會(huì )另有規定的除外。

this agreement is made and entered into this _____ day of _____ ,19 - by and between a.b.c.co.ltd. a corporation duly organized and existing under the laws of peoples republic of china,with its principal place of business at ____ (hereinafter called seller) and x.y.z.co.ltd. a corporation duly organized and existing under the laws of ____,with its principal of business at ____(hereinafter called agent). whereby it is mutuly agreed as follows:
article 1. appointment
during the effective period of this agreement. seller hereby appoints agent as its exclusive agent to solicit orders for products stipulated in article 4 from customers in the territory stipulated in article 3 and agent accepts and assumes such appointment.
article 2. agents duty
agent shall strictly conform with any and all instructions gvien by seller to agent from time to time and shall not make any representation,warranty,promise,contract,agreement or do any other act binding seller. seller shall not be held responsible for any acts or failures to act by agent in excess of or contrary to such instructions.
article 3. territory
the territory covered under this agreement shall be expressly confined to ____(hereinafter called territory)

article 5. exclusive right 
in consideration of the exclusive right herein granted, seller shall not,dicectly of indirectly,sell of export products to territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products competitive with of similar to products in territory and shall not solicit or accept orders for the prupose of selling produets outside terrtory. seller shall refer to agent any inpuiry or order for products seller may receive from others in territory during the effective period of this agreement.
aritcle 6. mimimum transaction and price
in the event that during one year (12 months) during the effective period of this agreement,aggregate payment received by seller from customers on orders obtained by agent under this agreement amounts to less than _____, seller shall have the right to terminat this agreement amounts to less than _____,seller shall have the right to terminate this agreement by giving thirty (30) days written notice to agent.
the seller shall from time to time furnish the agent with a statement of the minimum prices and the terms and conditions of sales at which the goods are respectively to be sold.
article 7. orders 
in soliciting orders ,agent shall adepuately advise customers of the general terms and conditions of sellers sales note or contract note and of any contract being subject to the confirmation of acceptance by seller.agent shall immediately dispatch any order received to seller for its acceptance or rejection.
the seller shall have the right to refuse to execute or accept any such orders or any part thereof and the agent shall not be entitled to any commission in respect of any such rejected order or part thereof refused.
article 8. expenses 
all expenses and disbursements such as cabling,traveling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially arranged.further agent shall, at this own expenses,maintain office(s), salesmen and others sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.
article 9.commission
seller shall pay to agent commission in _____ currency at the rate of ______% of the net invoiced selling price of products on all order directly obtained by agent accepted by seller. such commission shall be payable every six months only after seller receives the full amount of all payments due to seller. payments of such commission shall be made to agent by way of remittance.
article 10.information and report 
 
 
 
 
both seller and agent shall quartely and/or on the request of either party furnish information and market report each other to promote the sale of products as much as possible.agent shall give seller shall furnish with or without charge to agent reasonable quantity of advertising literatures catalogues,leaflets,and the like as agent may reasonably require.
article 11. sales promotion 
agent shall diligently and adequately advertise and promote the sale of products throughout territory.seller shall furnish with or without charge to agent reasonable quantity of advertising literatures catalogues,leaflets,and the like as agent may reasonably require.
article 12 .industrial property rights
agent may use the trade - mark(s) of seller during the effective period of this agreement only in connection with the sale of products, provided that even after the termination of this agreement agent may use the trade - mard(s) inconnection with the sale of products held by it in stock at the time of termination. agent shall also acknowledge that any and all patents, trade - marks, copyright and other industrial property rights used or embodied in products shall remain to be sole properties of seller and shall not dispute them in any way. if any infringement being found, agent shall promptly notify seller and asist seller to take steps to protect its right.
article 13. duration
this agreement shall enter into force on the signing of both parties. at least three(3) months before the expiration of the term, both seller and agent shall consult each other for renewal of this - agreement. if the renewal of this agreement is agreed upon by both parties,this - agreement shall be renewed for another_________ year(s) period under the terms and conditions herein set forth,with amendments, if agreed upon by both parties. unless this agreement shall expire on _______.
article 14. termination
in case there is any nonperformance and/or violation of the terms and conditions including article 5,6,11 under this agreement by either party during the effective period of this agreement,the parties hereto shall do their best to settle the matter in question as prompt and amicable as possible to mutual satisfaction.unless settlement should be reacher within thirty (30) days after notification in writing of the other party,such other party shall have the right to cancel this agreement and the loss and damges sustained thereby shall be indemnified by the party responsible for the nonperformance and/or violation. further in case of bandruptcy or insolvency or liquidation or death and/or reorganization by the third party of the other party ,either party may forth with terminate this agreement without any notice to the other party.
article 15. force majeure
either party shall not be held responsible for failure or delay to perform all or any part of the due to acts of god, governmet orders or restriction or any other events which could not be predicted at the time of the conclusion of the agreement and could not be controlled,avoided or overcome by the parties.hovever, the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.
article 16. trade terms and governing law
the trade terms under this agreement shall be governed and interpreted under the provisions of 1990 incoterms and this agreement shall be governed as to all matters including valitity,construction,and preformance under the laws of peoples republic of china.
article 17. arbitration:
all disputes arising from the performance of the agreement should be settled through friendly negotiations. should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the china international economic and trade arbitration commission(beijing) and the rules of this commission shall be applied. the award of the arbitration shall be final and binding upon both parties. the arbitration fee shall be born by the losing party unless otherwise awarded by the arbitration organization.

(一)概述
國際銷(xiāo)售代理協(xié)議是國際貿易代理協(xié)議的一種。國際銷(xiāo)售代理協(xié)議是一國的委托人與另一國的代理人之間簽訂的明確有關(guān)與銷(xiāo)售的代理權限規定相互權利義務(wù)的書(shū)面文件。
代理是代理人按照被代理人的授權,代表本人同第三人訂立合同或作其他的法律行為,由此而產(chǎn)生的權利與義務(wù)直接對委托人發(fā)生效力的一種法律制度。在當今的國際貿易中,代理制度的應用很廣而且起到了重要的作用。這種國際貿易代理是商業(yè)代理,而非一般的民事代理。
在國際銷(xiāo)售代理中,對銷(xiāo)售代理有不同的分類(lèi),如依其代理權限大小劃分,可將銷(xiāo)售代理商分為總代理商、獨家代理商和一般代理商,如依其有無(wú)代賣(mài)方訂立合同的權利劃分,可劃分為締約代理商和媒介代理商。
 
 
(二)標題
 
 
國際銷(xiāo)售代理協(xié)議的標題首先要明確標明這是代理協(xié)議,而非經(jīng)銷(xiāo)協(xié)議,而且同時(shí)要標明是獨家代理或總代理,一般代理,從而明確協(xié)議的性質(zhì)。
在我國實(shí)踐中,通常有兩種做法,一種就是代理僅是推銷(xiāo)商品,代理商從中周旋,買(mǎi)賣(mài)雙方直接訂立合同,而代理商吸取一定傭金,這可以說(shuō)是一種獨家媒介代理。另一種是我方與外國代理商直接簽訂合同并確認代理權,這種代理商既為買(mǎi)方,又為代理。
 
 
(三)代理權限
 
 
由于不同的代理權限下代理商的權利義務(wù)不同,對被代理人的利益影響也不同,所以代理權限的問(wèn)題是國際銷(xiāo)售代理協(xié)議中重要的內容。雙方當事人在代理協(xié)議中必須明確這一問(wèn)題,以為雙方當事人的權利義務(wù)劃分奠定基礎,在這一條款中,主要明確是否給代理商以獨家代理權。如授予代理商以某地區的獨家代理權,則賣(mài)方就不能通過(guò)其他途徑直接地或間接地在該地區銷(xiāo)售。正因如此,賣(mài)方在授予代理商以獨家代理權時(shí)必須要充分考慮到代理商的法律地位,品格及經(jīng)營(yíng)能力,一定要慎重行事,否則,如果代理商不努力推銷(xiāo)商品的話(huà),就會(huì )使賣(mài)方處于較被動(dòng)的地位。
 
 
(四)代理產(chǎn)品
 
 
這一條款主要規定代理產(chǎn)品的項目、種類(lèi)及方式。一般有兩種方法:一是將賣(mài)方的一種或數種產(chǎn)品的代理權賦予代理商,另一種是將賣(mài)方所有產(chǎn)品的代理權賦予代理商,對方這一條款,在前一種情況下,在草擬合同時(shí),要將代理產(chǎn)品的有關(guān)細節如種類(lèi)、名稱(chēng)、規格、質(zhì)量要求等詳細訂明,以免日后發(fā)生糾紛。此外,由于賣(mài)方有可能在不斷更新某產(chǎn)品,所以雙方在合同中還應訂明賣(mài)方新產(chǎn)品的代理的有關(guān)事宜。
 
 
(五)代理地區
 
 
代理地區范圍的大小直接關(guān)系著(zhù)合同雙方的利益。在此地區外,雙方就不受此條款的限制,在這一條款中,雙方一般以國、州、地區等行政區劃為標準加以確定代理地區范圍。這一條款如不明確,不具體,日后就容易產(chǎn)生糾紛。在確定代理地區時(shí),還要明確代理人在這一地區內對有關(guān)商品的訂單有無(wú)權利,以防止該商品或商標在第三國發(fā)生侵權。此外,在確定這一條款時(shí),雙方還要注意研究確定的地區的法律,避免國與此地的法律抵觸而無(wú)效。
 
 
(六)最低代理額
 
 
在授予獨家代理權的情況下,代理商獨自享有代理銷(xiāo)售權,為避免代理商不盡職責,保護賣(mài)方利益,就有必要確定最低代理額,以保護賣(mài)方的產(chǎn)品能夠順利銷(xiāo)售,在約定這一條款時(shí),必須要綜合考慮代理商的代理能力、經(jīng)營(yíng)狀況,代理地區的經(jīng)濟、社會(huì )狀況等因素,從而比較科學(xué)合理地確定最低代理額。在簽訂這一條款時(shí),雙方要確定最低代理額的計算方法從而有一個(gè)固定的數額,而且要規定這一代理額適用或需要變更的期限,以適應形勢發(fā)展需要,另外,雙方還應規定違反此條款的補救方法。
 
 
(七)傭金及支付
 
 
支付傭金是賣(mài)方對代理商所承擔的基本的合同義務(wù)。雙方在這一條款中可以約定傭金的計算方法,如按商品或發(fā)票金額計算,或約定一定的傭金比率。此外,雙方還要約定傭金的支付方式,一般在國際銷(xiāo)售代理協(xié)議中多約定定期匯總支付一次。至于具體的結算方式可以參照一般國際貿易的結算方式。
 
 
(八)商情報告
 
 
這一條款主要是規范代理商應及時(shí)向賣(mài)方報告其商業(yè)活動(dòng)的情況,以便賣(mài)方了解有關(guān)信息并采取相應措施。在這一條款中,雙方可以約定代理商向賣(mài)方報告的時(shí)間,如一定時(shí)期內匯報,另外,還要約定報告的方式及內容,一般來(lái)說(shuō),商事報告主要包括代理商的商業(yè)活動(dòng),市場(chǎng)信息,以及其所在國與此有關(guān)的法律、法令及外匯、海關(guān)方面的內容。
 
 
(九)知識產(chǎn)權的保護
 
 
由于國際銷(xiāo)售代理協(xié)議涉及的對象是產(chǎn)品,就不可避免地要涉及知識產(chǎn)權,其中關(guān)系較密切的是商標。而賣(mài)方為了保護與產(chǎn)品有關(guān)的知識產(chǎn)權在境外不受侵犯,就必須要在協(xié)議申明確對與產(chǎn)品有關(guān)的知識產(chǎn)權進(jìn)行保護。如對商標,雙方可以約定商標僅用于代理商品上,在協(xié)議終止后,代理商不得繼續使用該商標等等。另外,雙方還可以約定,如在代理商國內出現侵犯巳賣(mài)方知識產(chǎn)權的行為應及時(shí)通知賣(mài)方,同時(shí)雙方可以約定在這種情況下,經(jīng)賣(mài)方授權,代理商可以采取必要措施包括代理進(jìn)行訴訟等保護賣(mài)方的知識產(chǎn)權。
 
 
(十)訂單
 
 
前面已經(jīng)談到,有的代理商無(wú)權代理簽訂契約,在這種招攬訂單的情況下,代理商應將賣(mài)方的成交條件及合同一般條款通知顧客,顧客要求訂立合同的訂單也要及時(shí)轉交賣(mài)方,以供賣(mài)方做出決定。在這類(lèi)條款中雙方應規定代理商對訂單應做出什么樣的處理。
而在代理商有權簽訂契約的情況時(shí),代理商可以以賣(mài)方名義簽訂訂單或銷(xiāo)售合同,此時(shí)雙方應在協(xié)議中規定代理商簽訂契約的條件、并規定代理商簽訂契約后應及時(shí)通知賣(mài)方,以便賣(mài)方有充分的履約準備時(shí)間。
