13 付款條件：
買(mǎi)方須于_____年_____月_____日將保兌的，不可撤銷(xiāo)的.，可轉讓可分割的即期信用證開(kāi)到賣(mài)方。 信用證議付有效期延至上列裝運期后15天在中國到期，該信用證中必須注明允許分運及轉運。
Payment：
By confirmed, irrevocable, transferable and divisible L/C to be available by sight draft to reach the sellers before ___/___/_____ and to remainvalid for ingotiation in China until 15 days after the aforesaid time of shipment. Tje L/C must specify that transhipment and partial shipments are allowed.

17 人力不可抗拒因素：
由于水災、火災、地震、干旱、戰爭或協(xié)議一方無(wú)法預見(jiàn)、控制、避免和克服的其他事件導致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內將有關(guān)機構出具的不可抗力事件的證明寄交對方。
Force Majeure：
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18 仲裁：
在履行協(xié)議過(guò)程中，如產(chǎn)生爭議，雙方應友好協(xié)商解決。若通過(guò)友好協(xié)商未能達成協(xié)議，則提交中國國際貿易促進(jìn)委員會(huì )對外貿易仲裁委員會(huì )，根據該會(huì )仲裁程序暫行規定進(jìn)行仲裁。該委員會(huì )決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
由乙方負責搬走。由乙方增加的裝修(包括新增固定的隔墻、窗、燈具、門(mén)及其他拆卸后會(huì )損壞室內狀況的情況等)乙方不得拆除，以免破壞室內的裝修狀況。(或由雙方根據當時(shí)的實(shí)際情況協(xié)商處理)
八、轉租、轉讓和交換 8-1乙方在租賃期內，需事先征得甲方的書(shū)面同意，方可將該房屋部分或全部轉租給他人。 8-2 乙方轉租該房屋，應按規定與受租方訂立書(shū)面的轉租合同。并按規定由甲方(或甲方委托乙方)向上海_______區房地產(chǎn)交易中心辦理登記備案。 8-3 在租賃期內，乙方將該房屋轉讓給他人承租或與他人承租的房屋進(jìn)行交換，必須事先征得甲方書(shū)面同意。轉讓或交換后，該房屋承租權的受讓人或交換人應與甲方簽訂租賃主體變更合同并繼續履行本合同。 8-4 在租賃期內，甲方如需出售該房屋，應提前____個(gè)月通知乙方。乙方在同等條件下有優(yōu)先購買(mǎi)權。根據國家法律，甲方出售本房屋給第三人后，本合同繼續有效。
