Simple Analysis on Drafting International Sales Contract

Abstract
 
The contract plays an important role in the international trade. No matter what kinds of ways and forms we have adopted in our import and export transaction, we have to sign or reach an agreement ultimately according to the international trade requirements. There are many kinds of contracts. What we are going to discuss in this thesis is only the drafting of the international sales contract. This thesis starts with the definition of the international sales contract, introduces the basic features and indicates the main source of drafting international sales contract. This thesis, through analyzing on some important clauses and detailed examples, exposes the problems to which we must pay much attention and expatiates general principles of drafting international sales contract. Besides, checking contract is a key tache and also an indispensable step. Therefore, this thesis is mainly examining from three aspects to fully analyze what we may consider in the drafting process. In the end, a standard international sales contract is given for consulting.

摘 要

合同在國際貿易中起著(zhù)非常重要的作用。不管我們在商業(yè)交易中采用什么樣的方式和方法，最終我們都要按照國際貿易的要求達成或簽訂合同。合同有各種各樣的形式，而我們將在這篇論文中討論的是國際貨物銷(xiāo)售合同的擬寫(xiě)。本文從國際貨物銷(xiāo)售合同的概念入手，介紹了國際貨物銷(xiāo)售合同的基本特點(diǎn)，指明我們擬寫(xiě)合同的主要依據；通過(guò)分析國際貨物銷(xiāo)售合同中的重要條款和1些具體的例子，指出了合同擬寫(xiě)過(guò)程中應當要注意的問(wèn)題，并闡述了國際貨物銷(xiāo)售合同的擬寫(xiě)原則。另外，合同的審查工作也是擬寫(xiě)合同文件中1個(gè)關(guān)鍵環(huán)節，也是不可缺少的1個(gè)步驟。因此，本文主要從3個(gè)方面來(lái)審查合同，以求更全面的分析合同的擬寫(xiě)過(guò)程中所要考慮的問(wèn)題。最后，本文給出了1份正式的國際貨物銷(xiāo)售合同以供參考。
