公司瑕疵設立的法律調整

摘  要

公司瑕疵設立是公司法中的1個(gè)重要問(wèn)題。本文從比較法角度闡述了不同法系的法律調整模式，進(jìn)而，主要從4個(gè)方面論述了我國如何完善瑕疵設立法律調整機制。建議我國應建立瑕疵設立的訴訟程序，明確規定設立無(wú)效與撤銷(xiāo)的事由，瑕疵公司被確認無(wú)效或者撤銷(xiāo)時(shí)應無(wú)溯及力，以及對相關(guān)主體的法律保護。我國公司法應當在借鑒國外經(jīng)驗的基礎上，建立科學(xué)、合理、完備的公司瑕疵設立的法律調控機制。

Abstract

The company defective which is established is a very important problem in the law of company. This essay distracts from the angle of different forms of legal regulation on the establishment of company defective. Furthermore, it discourses on how to perfect legal regulation system of company defective on the four points in china. Such as establishing suit procedure, stipulating the reasons of invalid and repeal, the validity after the period of suit, protecting the person concerned and so on. While learning from the experiences of foreign countries, china should establish scientific, reasonable and profound legal regulation system of company defective establishment.
